Paladin Announces Bidder's Statement

Share Offer for Valhalla Uranium Limited

PERTH, WESTERN AUSTRALIA--(CCNMatthews - July 24, 2006) - Paladin Resources Ltd. ("Paladin" or "the Company")(TSX:PDN)(ASX:PDN) announced that it has lodged a Bidder's Statement with Australian securities regulatory authorities and the Australian Stock Exchange in connection with Paladin's offer to acquire all of the issued and outstanding shares of Valhalla Uranium Limited ("Valhalla"), which offer was announced July 10, 2006. Under the terms of the offer, each Valhalla shareholder will receive one share of Paladin in exchange for every 3.16 shares of Valhalla held. The directors of Valhalla have unanimously recommended that Valhalla shareholders accept the Company's offer in the absence of a superior offer.

The Bidder's Statement in its entirety will be available on SEDAR.

Valhalla is not a reporting issuer under Canadian securities legislation, and any offer to acquire shares of Valhalla held by Canadian residents will be made by the Company under exemptions from applicable take over bid legislation in Canada.

Paladin Resources Ltd is an Australian uranium exploration and development company listed on the Australian Stock Exchange ("PDN") and the Toronto Stock Exchange ("PDN"). Paladin is involved in the mineral resource sector with projects both in Australia and Africa.
